Terms of Service

1. Overview
These Terms of Service (“Terms”) govern access to and use of the QualCheck platform (“Service”) provided by Quality Group Pty Ltd (“Quality Group”, “we”, “us”).
The Service is provided to business and organisational users only. By accessing or using the Service, you agree to these Terms on behalf of your organisation (“Client”, “you”).
2. The Service
QualCheck provides automated analysis and quality-control outputs designed to support the review of analytical reports and related materials.
The Service generates indicators, observations, and structured outputs to assist professional judgement. It does not replace independent review, editorial decision-making, or professional responsibility.
The Service does not include verification of factual accuracy, completeness of underlying evidence, or responsibility for conclusions reached in any report.
3. Use of the Service
You agree to:
- use the Service only for lawful purposes
- ensure you have the right to upload and process all materials submitted
- ensure appropriate human oversight is applied when interpreting outputs
You must not:
- attempt to reverse engineer, extract, or replicate the Service or underlying models
- use the Service in a way that is unlawful, misleading, or harmful
- submit materials you do not have the right to use
4. Responsibility for Outputs
You remain solely responsible for:
- review, validation, and interpretation of all outputs
- final content of any report or material
- any decision, submission, or publication based on the Service
You must not rely solely on the Service output and must apply independent professional judgement in all cases.
5. Intellectual Property
Quality Group retains all rights, title, and interest in:
- the Service
- underlying software, models, and methodologies
You retain full ownership of:
- your reports
- source materials
- data submitted to the Service
No rights are transferred except as necessary to use the Service.
6. Data Handling
We process client materials solely to provide the Service.
Client materials:
- remain your property at all times
- are not used to train shared models or other clients’ systems unless expressly agreed
Data is retained while your account is active unless you request deletion.

7. Third-Party Services
We may use trusted third-party infrastructure and service providers, including cloud and AI services (e.g. AWS), to deliver the Service.
We take reasonable steps to ensure such providers maintain appropriate security and confidentiality standards.
8. Fees and Payment
Fees are:
- agreed separately (including pilot arrangements)
- payable in accordance with agreed terms
We may suspend access to the Service for non-payment.
9. Suspension and Termination
We may suspend or restrict access to the Service if:
- you breach these Terms
- your use creates risk to the Service or other clients
- payment is overdue
Either party may terminate the Service on written notice.
We may terminate immediately for material breach.
10. Disclaimer
The Service is provided on an “as is” and “as available” basis.
To the maximum extent permitted by law, we do not warrant that:
- outputs are complete, accurate, or error-free
- the Service will meet all requirements or expectations
The Service provides analytical support only and does not constitute professional advice.
11. Limitation of Liability
To the maximum extent permitted by law:
- Quality Group’s total liability arising out of or in connection with the Service is limited to the fees paid by the Client in the 12 months preceding the claim.

- indirect or consequential loss
- loss of profit, revenue, or opportunity
- loss arising from reliance on outputs
12. Indemnity
The Client indemnifies Quality Group against any claims, losses, or liabilities arising from:
- the Client’s use of the Service in breach of these Terms
- any materials submitted without the necessary rights or permissions
- any unlawful or improper use of the Service
13. Governing Law
These Terms are governed by the laws of Victoria, Australia. Any disputes are subject to the non-exclusive jurisdiction of the courts of Victoria.
Before initiating any legal proceedings, the parties agree to attempt to resolve any dispute in good faith through senior representative discussions for a period of not less than 20 business days.
14. Changes to the Service
We may update or modify the Service from time to time, including features and functionality, particularly during pilot or early-stage use.
15. General
These Terms represent the entire agreement unless otherwise agreed in writing.
If any provision is invalid or unenforceable, the remaining provisions remain in effect.
